Website Build Terms

Version 1.2Published 12 October 2026

This is version 1.2, kept at this address permanently. The current version is always at solmedia.com.au/studio/build-terms.

These terms are written in plain English. They sit alongside your signed quote, the Payment Plan (Schedule 2) if you choose it, and the Care Plan Terms and Direct Debit Schedule if you add a care plan or use direct debit.

1. About these terms

1.1 These terms are between Sol Media (ABN 46 930 759 486) ("we", "us") and the person or business named in your quote ("you").

1.2 They cover your Studio website: either the Essential package or the Signature package, as set out in Schedule 1.

1.3 How you accept. We send you a quote as a PDF with these terms attached. You accept by signing it. You can sign it for free with Adobe Fill & Sign, or print it, sign it and send us a scan or photo. Your signed quote shows your signature, your full name (typed), your role, your business name (and ABN, if you have one) and the date.

1.4 Authority. By signing, you confirm that you are authorised to accept these terms for the business named in the quote. If you are buying for a company or other business, the person who signs confirms they have authority to accept these terms for it. If you are a sole trader, you sign for yourself. By signing, you agree to be bound by these terms.

1.5 Our record. When we receive your signed quote, we keep the signed file, a digital fingerprint of it (a hash), the date we received it and the version of these terms attached to it. That record is our proof that you accepted. We keep it, and we give you a copy if you ask. Signing the quote has the same effect as signing on paper.

1.6 Nothing starts before you sign. We do not send you a payment link, take any payment or start any work until we have your signed quote. The terms attached to your signed quote stay the same for that job (clause 16.2).

1.7 Nothing in these terms takes away any right you have under the Australian Consumer Law (ACL) or other law that cannot be excluded.

2. What you get

2.1 You get the package you chose, as described in Schedule 1. Anything not listed in Schedule 1 is not included.

2.2 Bolt-ons. E-commerce, email marketing setup and SEO setup are available on either package. We quote each one in writing before any work starts. We only start once you accept the quote, and bolt-ons are delivered outside the package delivery times.

2.3 Photos. You can send us your own photos and we clean them up with AI, or, if you don't have photos, we create them with AI. Edited and AI-generated photos both count toward your package allowance in Schedule 1. Each extra photo beyond your allowance, edited or generated, is $20 + GST ($22 including GST).

2.4 How we work. We use AI tools, including to write and edit text, and to create or improve images, photos and video. Sol Media is one founder, a team of associates and AI agents, and a person reviews the work before it reaches you.

3. Price and payment

3.1 Prices are in Schedule 1, shown as a price plus GST and as a total including GST.

3.2 You can pay in full, or use the Payment Plan in Schedule 2. Your first payment is your deposit. You pay it by card or bank transfer, through the payment link we send you once we have your signed quote.

3.3 Paying in full. You pay a 25% deposit through your payment link: $316.25 for Essential or $536.25 for Signature. You pay the balance, $948.75 for Essential or $1,608.75 for Signature, when you sign off your website (clause 4.7), before handover and launch, by card or bank transfer. Your total is $1,265 for Essential or $2,145 for Signature, including GST.

3.4 We send a tax invoice for each payment. The price in your signed quote does not change for that job.

4. When your website is ready

4.1 Essential is ready within 2 business days. Signature is ready within 5 business days. "Ready" means your website is on your password-locked preview for you to review (clause 4.6).

4.2 The time starts when both of these have happened: (a) your deposit (your first payment) has cleared in our account; and (b) we have your full brief and assets, meaning everything on the checklist in Schedule 3 that applies to your package.

4.3 We confirm in writing, within 1 business day after both have happened, that the clock has started and when. If you have sent everything and we have not told you within 1 business day that something is missing, your brief counts as complete.

4.4 The clock pauses while we are waiting on you, for example for content, access, approvals or replies. It pauses from the time we ask by email until you give us what we asked for. It also pauses for unforeseen events (clause 12).

4.5 A business day is Monday to Friday, excluding public holidays in Victoria.

4.6 Your preview. When your website is ready, we send you a link to it on a password-locked preview. You walk through it there and tell us what to change. Your change period (clause 5) starts on the day we send the preview.

4.7 Sign-off, final payment and launch. When you are happy, you sign off (approve) your website. You then make your final payment: the balance if you paid in full, or your last instalment if you are on the Payment Plan. Once it has cleared, we hand the website over and launch it. Handover is the day we do that.

5. Changes on your preview

5.1 Essential includes 2 rounds of changes. Signature includes 3 rounds. All rounds are made on your preview and must be requested within 14 days of the day we send it.

5.2 A round is one list of changes you send us together. A change is an edit to existing content, wording, photos or layout within your package scope.

5.3 These are not changes: new pages, new features, new sections beyond your package, a new design direction after you approved the design, or extra photo edits beyond your allowance. We quote these as a bolt-on or extra before doing them.

5.4 After 14 days, or once your rounds are used, further changes are quoted. If you have a care plan, ongoing updates are covered by the Care Plan Terms.

5.5 If we hear nothing from you within 14 days of sending your preview, we treat the website as signed off. This does not affect your rights if the website has a fault (clause 13).

6. Your photos, content and materials

6.1 You can give us your own photos, text, logos and video ("your materials"). We may edit them with AI tools.

6.2 You promise that you own your materials or have permission to use them, including permission from anyone who appears in a photo. Testimonials you give us must be genuine, from real customers who agreed to be quoted. Claims about your business must be true.

6.3 You give us permission to use your materials to build, host and maintain your website.

6.4 We will not ourselves use your materials to train AI models. Where an AI tool we use offers a setting that stops its provider training on material we upload, we keep that setting turned on.

7. Who owns what

7.1 Once your balance or final instalment has cleared, you own the website content and assets we created for you (text, images, video and design). We assign to you every right we have in them.

7.2 AI tools help create the work. The law may not give copyright in some AI-made material. If so, we give you everything we can and we will not stop you using it.

7.3 Until you have paid in full, whether you paid a deposit or are on the Payment Plan, your website stays on the password-locked preview. Once your balance or final instalment has cleared, we hand it over and launch it, and transfer the files to you or move it to another host if you ask.

7.4 We may use fonts, stock material, software libraries and hosting platforms that belong to other people under their own licences. They stay with their owners. We tell you if any of them need a licence or an ongoing cost after handover.

7.5 Your materials stay yours.

7.6 Our licence to show your work. You give us a non-exclusive, lifetime, royalty-free licence to show the finished website (including screenshots and links) in our portfolio and marketing. For your materials (logos, photos of people, and text you supplied), this covers showing them as part of the finished website only. You can ask us in writing to remove identifying details such as names, faces or contact details, and we will do so within 10 business days.

7.7 We keep our own tools, methods, templates and know-how.

8. Hosting and your domain

8.1 If you have the care plan, the Care Plan Terms apply to hosting.

8.2 If you do not have the care plan, we host your website free for 30 days after handover and include one migration to a host or platform you choose. After the 30 days, hosting is your responsibility and cost. If it has not been moved, we may take it offline after giving you 7 days' written notice.

8.3 Your domain belongs to you. We help connect it. Domain registration and renewal costs are yours.

8.4 We charge no ongoing fees for the website itself, and there is no lock-in contract. Domain, hosting after the 30 days, and any third-party services you choose are paid to those providers.

9. Payment Plan

9.1 If you choose the Payment Plan, Schedule 2 applies. If an instalment is missed, we follow the steps in Schedule 2. We do not charge a late fee. You can ask to pay your remaining instalments early (Schedule 2, clause 10).

10. Cancelling and refunds

10.1 Before work starts, you can cancel and we refund what you've paid, minus a 20% admin fee. Work starts when we confirm in writing that the clock has started (clause 4.3).

10.2 After work has started, you can cancel and we refund what you've paid, minus your deposit or a pro-rata amount for the hours already worked, whichever is greater; we show you the amount in writing. If you cancel after you have signed off your website, the unpaid balance or instalments for the work delivered stay payable, and we do not charge anything extra.

10.3 If we have been waiting on you for more than 30 days, either of us can end the job. We refund what you have paid, less a pro-rata amount for work done.

10.4 We refund to the way you paid, within 10 business days. Cancelling does not affect your rights under the ACL. These terms do not limit those rights.

11. The care plan

11.1 The care plan is optional. It is $50 + GST per month ($55 including GST), by direct debit, and you can cancel anytime. It includes hosting (online, secure and backed up), unlimited small updates and same-day replies to requests sent by 3pm on a business day. Its terms are in the Care Plan Terms.

12. Unforeseen events

12.1 Neither of us is in breach for a delay caused by something beyond our reasonable control. This includes illness, and outages of platforms or AI services we rely on.

12.2 The party affected tells the other within 1 business day. The delivery clock pauses day for day while the event lasts. Delays on your side, for example late content, also pause the clock.

12.3 If a pause lasts more than 10 business days, you can cancel and we refund the part of the price for work not yet delivered.

12.4 This clause does not cover things we could reasonably have prevented or planned for.

13. Your consumer rights and our responsibility

13.1 Our services come with guarantees under the ACL that cannot be excluded. They include that we provide services with due care and skill and within a reasonable time. Nothing in these terms excludes, restricts or changes them. If your website has a fault that is our responsibility, tell us and we will fix it or give you the remedy the law provides.

13.2 We do not promise particular results, such as search rankings, traffic or sales.

13.3 Where the law allows, our responsibility for anything else is limited to the amount you have paid us. We are not liable for indirect loss, such as lost profits.

14. Privacy

14.1 We use your details to deliver your website and look after your account. Our Privacy Notice explains how: solmedia.com.au/privacy. If your website has an enquiry form and we host it, the Care Plan Terms explain how we handle that data for you.

15. Questions and complaints

15.1 Email mail@solmedia.com.au. We reply within 5 business days. You can also contact Consumer Affairs Victoria or the ACCC at any time.

16. General

16.1 Victorian law applies, and the courts of Victoria have jurisdiction.

16.2 We do not change the terms of a job in progress without your written agreement. We may update these terms for future orders.

16.3 We give notices by email to the address in your quote. If part of these terms is found invalid, the rest still applies.

Total$1,500.00$2,500.00

Weeks are counted from the date your first payment cleared. If a debit date is not a business day, we debit on the next business day.

3. Your first payment is the deposit and is always by card or bank transfer. Payments 2 to 4 are taken by direct debit from your Australian bank account. When you make your first payment, you set up a Direct Debit Request in our payment provider's direct debit form, so it is ready before week 2. You agree to the provider's Direct Debit Request service agreement in that form. Our Direct Debit Schedule explains the details.

4. Notice. We email you when your direct debit is set up and before each debit, as the direct debit rules require. You can ask us to change or stop your direct debit, with at least 7 business days' notice before the debit date. If you stop it, you pay the remaining instalments another way.

5. Delivery clock. The delivery time starts as set out in clause 4 of the Build Terms.

6. Your website during the plan. It stays on the password-locked preview until your final instalment has cleared. Then we hand it over and launch it. Ownership and the transfer of files follow clause 7 of the Build Terms.

7. If an instalment is missed. We email you the same business day. If it is still unpaid after that, we send a reminder and then 7 days' written notice by email. If it is still unpaid when the notice ends, we may pause work, handover and launch until it is paid. We pick up again within 1 business day of payment. We do not charge a late fee.

8. For business use. I confirm I am buying this website for business purposes, not for personal, household or domestic purposes.

9. Cancelling. Clause 10 of the Build Terms applies. If you cancel after you have signed off your website, instalments for the work delivered stay payable.

10. Paying early. You can ask us in writing, by email, to pay your remaining instalments early. We then take them together, by direct debit or by card or bank transfer, as you choose. Your payment plan price stays the same, and there is no fee. Once they have cleared and you have signed off your website, we hand it over and launch it.

Schedule 3: What we need from you (client checklist)

Your delivery time starts when your deposit has cleared and everything on this list that applies to your package is in. Reply to our emails within 1 business day to keep the clock running. We confirm in writing when the clock starts.
